1. Acceptance of Terms

These Terms of Service (the "Terms") govern your access to and use of the Quilt desktop application, mobile application, web services, Model Context Protocol ("MCP") server, application programming interfaces, and any related services provided by Grizzilla, Inc., a Delaware corporation ("Quilt," "we," "us," or "our") (collectively, the "Service").

By creating a Quilt account, installing the Service, or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

These Terms include an arbitration agreement and class-action waiver (Section 18). Please read those sections carefully.

The Service is currently offered only to users located in the United States.

2. Eligibility

You must be at least sixteen (16) years old to use the Service. By using the Service, you represent and warrant that:

3. Account Registration and Security

You may have only one (1) personal account, except where we expressly authorize multiple accounts (e.g., team or family plans).

4. License and Permitted Use

4.1 License Grant

Subject to your compliance with these Terms and payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Service on devices you own or control, solely for your personal or internal business use.

If you discover a security vulnerability, please report it confidentially to hello@joinquilt.app before public disclosure. We will acknowledge receipt within seventy-two (72) hours and work in good faith to investigate and remediate.

5. Connected Accounts and Third-Party Services

The Service operates by connecting to email, calendar, and messaging providers that you authorize, including but not limited to Google (Gmail), Microsoft (Outlook), Slack, Yahoo, Meta (WhatsApp Business, Messenger, Instagram), LinkedIn, Apple (iMessage, via the Quilt Relay App), and SMS networks (via the Quilt Mobile App).

6. Subscriptions, Trials, and Payments

6.1 Pricing and Tiers

The Service is offered in multiple tiers, including:

Current pricing is available at /pricing. Pricing is subject to change with at least thirty (30) days' notice before the next billing cycle.

6.2 Trial

New users may receive a complimentary fourteen (14)-day Quilt Pro trial. No payment information is required to begin a trial. If you have not subscribed to a paid tier by the end of the trial period, your account will automatically transition to the Quilt Free tier with reduced features and AI caps. We do not auto-charge users after a trial unless you have explicitly entered payment information and authorized recurring billing.

6.3 Billing

If you subscribe to a paid tier, payments are processed by Stripe, Inc. By providing payment information, you authorize us to charge your selected payment method for the recurring subscription fee until you cancel. Subscriptions auto-renew at the end of each billing period unless cancelled.

You can cancel at any time through Settings → Plan. Cancellation takes effect at the end of your current billing period; you will retain access to paid features until then. We do not provide refunds for partial billing periods except where required by law.

6.4 AI Usage Caps

Each paid tier includes a daily and monthly cap on AI feature usage. If you exceed the cap, AI features will be temporarily limited until the next reset (daily at midnight Pacific Time; monthly on your billing cycle anniversary). You may upgrade your tier or connect a Bring Your Own Key ("BYOK") provider to continue.

When you use a BYOK provider, you are billed directly by that provider; we do not see or process those charges.

6.5 Metadata Insights Program (Opt-In Revenue Share)

If you opt in to the Metadata Insights Program, we may share compensation with you for participation, subject to a separate agreement that you must explicitly accept before any compensation is paid. Compensation, if any, is not guaranteed and may be in cash, account credits, or other forms determined at our discretion.

6.6 Taxes

Prices are exclusive of applicable taxes (sales tax, VAT, GST). You are responsible for paying any taxes associated with your subscription.

7. Intellectual Property

7.1 Our IP

The Service, including all software, designs, text, graphics, audio, video, and other content (excluding User Content as defined below) is owned by Quilt or our licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The "QUILT" wordmark, the multicolor logo block, "Every thread, one quilt.", and other brand elements are trademarks of Grizzilla, Inc. You may not use these without our prior written permission, except for fair-use referential mentions.

Aspects of the Service's privacy-preserving architecture (including the zero-body-storage retrieval pattern and the metadata-only relational model) are the subject of one or more pending United States patent applications. All rights are reserved.

7.2 User Content

"User Content" means any data, content, or information you provide to, create within, or send through the Service, including but not limited to messages, contacts, calendar events, Personal Inventory entries, AI prompts, and customization choices.

You retain all rights in your User Content. You grant us a limited, non-exclusive, royalty-free, worldwide license to host, store, process, transmit, and display your User Content solely to provide the Service to you and as necessary to comply with applicable laws.

You represent and warrant that you have all necessary rights to grant the license above and that your User Content does not infringe the rights of any third party.

7.3 Feedback

If you provide us with suggestions, feedback, or ideas regarding the Service ("Feedback"), you grant us a perpetual, irrevocable, royalty-free, worldwide license to use that Feedback for any purpose without obligation to compensate you.

7.4 DMCA / Copyright Infringement Claims

If you believe content accessible through the Service infringes your copyright, please send a notice complying with the Digital Millennium Copyright Act ("DMCA") to hello@joinquilt.app. Counter-notices may also be sent to the same address.

8. AI Features — Specific Provisions

8.1 No Warranty for AI Outputs

AI features in the Service generate content algorithmically. We do not warrant that AI outputs will be accurate, complete, current, free of errors, or appropriate for your purpose. You are solely responsible for reviewing AI outputs and any decisions or communications based on them.

8.2 No Professional Advice

AI outputs are not professional advice. Do not rely on AI features for medical, legal, financial, tax, mental health, or other regulated professional advice. Seek qualified professional counsel as appropriate.

8.3 Third-Party AI Provider Terms

Default AI features rely on Anthropic, PBC. BYOK features rely on the provider you select (Anthropic, OpenAI, Google, etc.). You agree to comply with the applicable terms of those providers when using their services through the Service.

8.4 No Training on Your Personal Data

We do not train our own AI models on your User Content. Our default AI provider (Anthropic) has represented that it does not train on API data per its API Terms of Service. We make no warranties about third-party AI providers' practices beyond their published terms.

8.5 MCP Server Access by External Agents

If you enable the MCP server, you authorize external AI agents you designate to read and (with separate consent) write your Quilt data. You are responsible for the trustworthiness of the agents you authorize. We log all such accesses; you may revoke any agent's access at any time.

9. Privacy

Your use of the Service is governed by our Privacy Policy. The Privacy Policy describes how we collect, use, share, and protect your information.

10. Service Availability and Modifications

10.1 Availability

We strive to maintain the Service in working order but do not guarantee uninterrupted access. Connected third-party services (Gmail, Outlook, Slack, Anthropic, Supabase, Stripe, etc.) may experience outages or change their terms in ways that affect the Service.

10.2 Modifications

We may modify, suspend, or discontinue any feature of the Service at any time, with or without notice. We will provide notice of material changes that adversely affect paid subscribers and offer a prorated refund of unused fees if a paid feature is discontinued.

10.3 Beta Features

We may offer beta or experimental features. Beta features are provided "as is," may be removed at any time, and may not have the same reliability or support as production features.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, COMPLETENESS, OR THAT THE SERVICE WILL OPERATE WITHOUT INTERRUPTION OR ERROR.

Without limiting the foregoing, we do not warrant that:

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL QUILT, ITS AFFILIATES, OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You agree to defend, indemnify, and hold harmless Quilt, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

14. Termination

14.1 Termination by You

You may terminate your account at any time through Settings → Account → Delete account, or by contacting us at hello@joinquilt.app. Termination of a paid subscription will take effect at the end of the current billing period unless required otherwise by law.

We may suspend or terminate your access to the Service immediately, with or without notice, if:

15. Export Controls and Sanctions

You agree to comply with all applicable export control and sanctions laws, including those of the United States. You represent that you are not located in, or a national or resident of, any country subject to a U.S. government embargo, and you are not on any U.S. government list of prohibited or restricted parties.

16. Changes to These Terms

We may modify these Terms at any time. If we make material changes, we will notify you by email or prominent notice within the Service at least thirty (30) days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Subject to Section 18 (Dispute Resolution), any dispute arising out of or relating to these Terms or the Service that is not subject to arbitration shall be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to personal jurisdiction and venue in those courts.

18. Dispute Resolution — Arbitration and Class-Action Waiver

Please read this section carefully. It affects your legal rights, including your right to bring a lawsuit in court and your right to a jury trial.

18.1 Informal Dispute Resolution

Before initiating any formal dispute, you agree to first contact us at hello@joinquilt.app with a description of the dispute and proposed resolution. We will work in good faith to resolve the dispute informally for at least sixty (60) days before either party initiates formal proceedings.

18.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by JAMS or the American Arbitration Association ("AAA") under their respective consumer arbitration rules. Arbitration shall take place in the State of Delaware, or remotely if both parties agree.

18.3 Class-Action Waiver

You and Quilt agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

18.4 Opt-Out of Arbitration

You may opt out of the arbitration agreement by sending written notice to hello@joinquilt.app within thirty (30) days of first agreeing to these Terms. Your notice must include your name, account email, and a clear statement that you wish to opt out of arbitration.

18.5 Exceptions

Either party may bring an individual claim in small-claims court if eligible. Either party may also seek injunctive relief in court to protect intellectual property rights.

18.6 No Effect on Statutory Rights

Nothing in this section limits your statutory rights that cannot be waived by contract under applicable law.

19. General Provisions

19.1 Entire Agreement

These Terms, together with the Privacy Policy and any additional agreements you accept for specific features (e.g., the Metadata Insights Program agreement), constitute the entire agreement between you and us regarding the Service.

19.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

19.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

19.4 Assignment

You may not assign these Terms or any of your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

19.5 No Agency

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and us.

19.6 Force Majeure

We will not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

We may provide notices to you by email to the address associated with your account or by posting within the Service. You should send notices to us at hello@joinquilt.app or to the postal address listed in Section 20.

These Terms are written in English. Any translations are provided for convenience only; the English version controls in case of conflict.
